NonProfit Organizations

Thinking about forming a nonprofit charitable organization, a political action committee, or an entity for lobbying?

Or thinking about applying to the IRS for tax-exempt status?

Social entrepreneurs often start the process and then realize that they need a lawyer to figure out what's next. Instead of diverting your attention from what you are good at, it's more time efficient to hire a lawyer as early as possible. This way the formation and tax-exemption issues do not distract entrepreneurs and boards of directors from their passions by drafting documents that often have to be revised and refiled when an attorney becomes involved to help with the more complicated steps. Elsner Law offers the following package of services on a flat fee basis:

  • Evaluating whether the entity should seek to be recognized as a 501(c)(3), 501(c)(4) or other entity.

  • Assisting in naming the organization.

  • Drafting and filing articles of incorporation.

  • Drafting and/or revising organization bylaws with the board of directors so that the bylaws are easily understandable by non-lawyers, comply with state law, and satisfy tax-exempt requirements.

  • Completing and filing IRS Form 1023 to obtain tax-exempt status with the IRS, other application depending on entity choice.

  • Registering as a charitable organization so that you may lawfully solicit donations.

  • Registering as a lobbying organization.

Elsner Law also advises nonprofit organizations regarding financial relationships and transactions so that tax-exempt status can be maintained, drafts and negotiates contracts, and advises on employment matters.
